Academic Privilege and Authority

Gymflesh Corporation is an educational business providing general health and exercise information commonly used in the public domain. All Gymflesh® Services are designed and supervised by professional, experienced teachers and professors, assisted by student-instructors, interns, and associates. Gymflesh® School is not an accredited school, college or university, but is the corporate trademark for the educational Services Gymflesh Corporation provides. Gymflesh Corporation, Gymflesh® School and University Project (inclusive of the Intern Opportunity Program, "Intern Ops," and the Ecogymnasium™ Project), Gymflesh® Press and Library, Gymflesh® Gym and Academy, and Gymflesh® Gear and Toys, and their respective educational Services are not authorized or licensed by any certifying or accrediting body, neither by state nor federal offices or agencies, nor can Gymflesh® issue diplomas and degrees. Gymflesh® carefully plans, implements, and monitors its educational Services according to the common standards of higher education by filing Learning Activity Proposals, Academic Précis, Pedagogic Criteria, and similar monitoring and reporting systems. It is the gold-standard mission of Gymflesh® to provide excellence in education and training. Gymflesh Corporation and its divisions should not be interpreted or accepted as equal or equivalent to the processes, criteria, and protocols of accredited institutions of higher learning.

Consultation Terms of Service and Fees
 

1. Individual requests start at USD $700.00 per 90-minute session (15 hours minimum, 10 sessions), exclusive of customized rates and additional fees.

2. Corporate and group reservations start at USD $5,000 per day (one 6-hour appointment minimum), exclusive of customized rates and additional fees. Billing-hour services (pay by the hour offerings) are not available for corporate or group requests.

Privacy Policy

Gymflesh Corp. (“Gymflesh®,” "we" or "us") provides a variety of Services, without limitation, subscription, newsletter and update, to subscribers via email and on numerous websites throughout the World Wide Web, including the site you are currently on. Gymflesh® is persistently committed to protecting the privacy of your personal information, and providing a safe and secure environment for its subscribers.

The purpose of the Gymflesh® Privacy Policy (“The Policy”) is to help you understand the type of information we may gather about you when you visit Gymflesh® websites and use any of Gymflesh Services, how we may use your information, in which manner we will disclose it, and how you can correct and update the information. By using Gymflesh® Services you signify your agreement with this policy. If you do not agree to the terms of this policy, please do not use Gymflesh® Services and refrain from visiting our websites. Information Regarding Children

Gymflesh® policy is that it does not knowingly collect personally identifiable information from individuals under eighteen years of age. Gymflesh® Services are not directed or intended for children (i.e., those under eighteen years of age). If you are under eighteen years of age, you should not navigate through the site and visit its pages, and not register to become a subscriber or provide personally identifiable information on any of Gymflesh® Services. If you are the parent or legal guardian of a child or children who you believe has disclosed personally identifiable information to Gymflesh®, please contact Gymflesh® at Legal@Gymflesh.com so that we may delete and remove such child's or children’s  information from our data systems.

Collected Information

Gymflesh® collects two types of information from its members and guest or users of its websites and the services: "personally identifiable information," such as names, addresses and "aggregate" or non-personally identifiable information, such as collective data about traffic patterns on the websites (e.g., number of users that log on to websites on a daily basis). Gymflesh® uses information obtained from its users to enhance and customize online experiences.

Gymflesh® uses information collected, including personally identifiable information, for a wide range of purposes. For example, your information helps us to better understand your needs and provide you with better products and services. Gymflesh® may use this information to respond to inquiries or requests, to correspond and communicate with you, inform you on Gymflesh® Services and various benefits, alert you to promotional services, personalize its websites for you, contact you for market research and the like, supply you with marketing information, emails or other information Gymflesh® considers of particular interest and to investigate violations of the terms and provisions of this Policy and/or our Terms of Service. Terms of Service Agreement

This agreement (hereinafter, the "Agreement") between Gymflesh Corporation (hereinafter, "Gymflesh®", "us" or "we") and you sets forth the terms and conditions which govern your use of any of the Gymflesh® Services (hereinafter, the "Services") thereon which are provided by Gymflesh®.

Read this agreement carefully before accessing or using any of Gymflesh® Services. By accessing or using Gymflesh® Services, you agree to be bound by these terms and conditions set forth below. If you choose not to be bound by the terms and conditions, you may not access or use any of Gymflesh® Services and should cease and desist immediately from such use. Gymflesh® may modify this agreement at any time, and such modifications shall be effective immediately upon due notice (either posted on Gymflesh® websites or through email correspondences). Your use of any of Gymflesh® Services following such notification shall be deemed your acceptance and compliance of such changes. You agree to review the agreement periodically to be aware of such modifications. Your continued access to or use of Gymflesh® Services shall be deemed your conclusive acceptance of the agreement’s modifications. If Gymflesh® requests, you agree to sign a non-electronic version of this agreement.

Limited Use of Services; Limited License

Gymflesh® grants you a limited, personal, non-transferable and non-exclusive right and license to access its Services. All Gymflesh® Services are for your personal, noncommercial use.

Prohibited Activities

In connection with your use of Gymflesh® Services, you acknowledge and agree that you will not:
a. copy, reverse engineer, reverse assemble, otherwise attempt to discover the source code, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software, products or services obtained through the websites or services; b. access the websites or services by any means other than through the standard industry-accepted or Gymflesh®-provided interfaces; c. transmit any message, information, data, text, software or image, or other content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable which may invade another's right of privacy or publicity; d. impersonate any person or entity, including without limitation, a Gymflesh® official, staff member, teacher or instructor, corporate affiliate, or falsely state or otherwise misrepresent your affiliation with such a person or entity; e. post or transmit any material that contains a virus or corrupted data; f. delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature; g. use of any Gymflesh® Services’ communications features in a manner that adversely affects the availability of its resources to other users; h. post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam," "chain letters," or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise; i. violate any applicable local, state, national or international law; j. upload or transmit any material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; k. delete or revise any material posted by any other person or entity; l. manipulate or otherwise display the Gymflesh® Services by using framing or similar navigational technology; m. register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, any party for any Gymflesh® Service if you are not expressly authorized by such party to do so; or, n. use the Services for any purpose that is unlawful or prohibited by these terms and conditions. You may not use the Services in any manner that could damage, disable, overburden or impair Gymflesh® servers or networks, or interfere with any other user's use and enjoyment of the Services. Furthermore, you may not attempt to gain unauthorized access to any of the Services, accounts, computer systems or networks connected to Gymflesh® through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

Billing and Renewal Transactions and Policies

Certain Services may be offered for sale. In the event you wish to purchase or to subscribe for any of these Services, you will be asked by Gymflesh® or an authorized third party to supply certain information, including without limitation, your full name, address, telephone number and credit card information, email address, telephone number, and additional, necessary data. You agree to provide Gymflesh® or such third party with the foregoing information as well as any other mandatory information that is accurate, complete and current, and to comply with the terms and conditions of any agreement that you may enter into governing your purchase of the Service or Services. You shall be responsible for all charges incurred through your account as well as for paying any applicable taxes.

Some Services offered by Gymflesh® are subscription-based services. If you open a subscription-based account with any of Gymflesh® Services, you hereby agree to pay all charges to your account, including any applicable taxes, in accordance with billing terms in effect at the time the fee or charge becomes payable. Gymflesh® reserves the right to change the amount of, or basis for determining, any fees or charges for Services we provide, and to institute new fees, charges or terms effective upon notice to subscribers. We reserve the right to terminate any account at any time for any reason. 

Automatic Renewal Terms

Your subscription to Gymflesh® Services will be automatically renewed and your credit card will be automatically charged on a monthly basis, depending upon the billing terms for your account, for as long as you remain a member. You agree that Gymflesh® will not be obligated to send you any renewal or advance billing notices or confirmations that your credit card has been charged.

Your right to use Gymflesh® Services or a specific product is conditional upon our receipt of payment. If payment cannot be charged to your credit card or if a charge is refunded for any reason, including chargeback, we reserve the right to immediately and without notice, either suspend or terminate your access and account, thereby terminating this Agreement and all Gymflesh® obligations hereunder. You are required to pay any amounts still owed to us at the time your account is suspended or terminated.

In the event you elect to terminate your membership and Gymflesh® is notified accordingly by emailing Membership@Gymflesh.com, your Gymflesh® Services will terminate immediately upon our notification. All sales of Gymflesh® Services are final. No refunds or returns are allowed. Partial credit for unused Services is not allowed.  If you have an outstanding balance due on any Gymflesh® account, you hereby agree that Gymflesh® may charge these unpaid fees to your credit card or use any other lawful means to collect such outstanding balances.

Disclaimer Regarding Links

The links on any of Gymflesh® Services will let you leave the particular Site or Service you are accessing in order to access a linked site (the "Linked Sites"). Gymflesh® provides these links as a convenience, but we neither control nor endorse these Linked Sites, nor has Gymflesh® reviewed or approved the content which appears on the Linked Sites. Gymflesh® is not responsible for the legality, accuracy or inappropriate nature of any content, advertising, products or other materials on or available from any Linked Sites. You acknowledge and agree that Gymflesh® shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any of the links, content, goods or services available on or through the Linked Sites.

Dealings with Third Parties

Your participation, correspondence or business dealings with any third party found on or through Gymflesh® Services, regarding payment and delivery of specific goods and services, and any other terms, conditions, representations or warranties associated with such dealings, are solely between you and such third party. You agree that Gymflesh® shall not be responsible or liable for any loss, damage, or other matters of any sort incurred as the result of such dealings.

Proprietary Rights

You acknowledge and agree that Gymflesh Corporation Services contain proprietary and confidential information that is protected by applicable intellectual property and other laws, and are the sole property of Gymflesh Corporation or its licensors. You further acknowledge and agree that any content contained in advertisements or information presented to you through advertisers concerning Gymflesh® or otherwise is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. By sending or transmitting to us creative suggestions, ideas, notes, concepts, information, or other materials (collectively, "Submission Materials") or by posting such Submission Materials on the Sites, you hereby grant to us and our designees a worldwide, non-exclusive, sublicensable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable right to use, reproduce, distribute (through multiple tiers), create derivative works of, publicly perform, publicly display, digitally perform, make, have made, sell, offer for sale and import such Submission Materials in any media now known or hereafter devised, for any purpose whatsoever, commercial or otherwise, without compensation to you, the provider of the Submission Materials. The foregoing license to Gymflesh Corporation shall be fully paid-up and royalty free. In addition, under no circumstances shall Gymflesh Corporation have any obligation whatsoever to pay a fee to any subscriber or user in connection with the Submission Materials upon the occurrence of a transfer of all or any portion of Gymflesh Corporation’s business through a merger, sale or transfer of all or substantially all of the assets of Gymflesh®, nor shall the sale of advertising on any of the Services give rise to any obligation to pay a fee to Subscribers. None of the Submission Materials disclosed or posted via message boards, chats or other public forums shall be subject to any obligation, whether of confidentiality, attribution, or otherwise, on Gymflesh Corporation's part and we shall not be liable for any use or disclosure of any such Submission Materials.

Copyright Policies

All Content is copyrighted, and it is either owned or used with permission by Gymflesh Corporation. Gymflesh Corporation disclaims any representation or warranty that your unauthorized use of Content will not infringe upon rights of third parties not owned by or affiliated with Gymflesh Corporation. Except as set forth by separate Agreement or in the text of this Website, you may not reproduce, distribute, publish, transmit, modify, adapt, translate, display, distribute, sell, license, publicly perform, prepare derivative works based upon, or otherwise use or exploit the Content. You may download one copy of portions of the Content in temporary storage on one personal computer for your personal, non-commercial, non-political, non-networked viewing and use only, provided you do not delete or change any copyright, trademark, or other proprietary notices. The foregoing limited right does not give you any ownership of any Content. Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold Gymflesh Corporation and its subsidiaries, affiliates, officers, directors, agents, co-branders or other partners, employees, and representatives harmless from and against any and all claims, damages, losses, costs or expenses (including reasonable attorneys' fees and disbursements) which arise directly or indirectly out of or from (i) your breach of this Agreement, (ii) any allegation that any materials that you submit to Gymflesh Corporation or post through and on any forums infringe or otherwise violate the copyright, trade secret, trademark or other intellectual property rights of a third party, and (iii) your access or use of the Services. This Section Indemnification shall survive in the event this Agreement is terminated for any reason.

Jurisdictional Issues

Gymflesh Corporation makes no representation or warranty that the content and materials on the Services are appropriate or available for use in locations outside the United States. Those who choose to access the Services from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. Gymflesh® reserves the right, at any time in our sole discretion, to limit the availability and accessibility of the Services to any person, geographic area, or jurisdiction we so desire, and to limit the quantities of any such Service or products that we provide.

Termination

This Agreement shall remain effective until terminated in accordance with its own terms and conditions. You agree that Gymflesh®, in its sole discretion, may terminate your account (in whole or in part), or use of the Services, and remove and discard any content within the Services, at any time and for any reason. You agree that any actions taken under this Section Termination may be effective without prior notice to you. In the event of termination, however, those Sections in this Agreement which provide for continuing obligations on your part shall survive indefinitely.

Gyms Without Borders™ (and the additional slogans Gymnasiums Without Borders™, Athletes Without Borders™, and Health and Exercise Without Borders™, et al.) and the Ecogymnasium™ Mentor Outreach Cooperative was created, developed and founded by Gymflesh Corporation on 9 June 2007 (cf. JN1034 above). This proposed health education and medical exercise humanitarian aid project has yet been granted nonprofit status and awaits recognition by the United Nations as an official NGO partner. General Summary

This Agreement constitutes the entire agreement and understanding between you and Gymflesh Corporation and governs your use of the Services, superseding any prior agreements between you and Gymflesh Corporation. This Agreement and the relationship between you and Gymflesh Corporation shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You and Gymflesh Corporation irrevocably agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the county of Rockland, in the State of New York, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. The failure of Gymflesh Corporation to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed herefrom and shall not affect the validity and enforceability of any remaining provisions. The section titles in this Agreement are for convenience purposes only and have no legal or contractual effect. This Agreement is not assignable, transferable or sublicensable by you except with our prior written consent. However, Gymflesh Corporation may assign this Agreement to any third party whom we choose without your consent. No waiver by Gymflesh Corporation of any breach or default hereunder shall be deemed a waiver of any preceding or subsequent breach or default.
